Terms of Use

These terms govern your access to and use of OpenVisio. By using the Service, you agree to them. Please read them carefully.
1. Acceptance of terms
By accessing or using OpenVisio (the “Service”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2. The Service
OpenVisio turns codebases into a navigable graph and provides a grounded narrator that cites code. The core product is local-first: indexing and exploration run on your device. Some features require an account, a subscription, or third-party services and are provided on an “as available” basis.
3. Accounts
To use certain features you must create an account. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity under your account. Notify us promptly at hello@openvisio.io if you suspect unauthorized use.
4. Subscriptions and billing
- Paid plans (“Pro”) are billed in advance on a recurring basis (monthly or annually) through our payment provider, Stripe.
- Subscriptions renew automatically until cancelled. You can cancel at any time; access continues until the end of the current billing period.
- Except where required by law, payments are non-refundable and partial periods are not pro-rated.
- We may change prices or plan features. We will give reasonable notice of material changes, which take effect on your next billing cycle.
5. Free tier and trials
We may offer a free tier or a limited number of free AI actions. These are provided at our discretion and may change or end at any time. Limits are enforced per browser or per account.
6. Acceptable use
You agree not to:
- Use the Service for anything unlawful or infringing, or to violate others’ rights.
- Reverse engineer, resell, or circumvent the Service’s technical limits or access controls.
- Interfere with, disrupt, or place undue load on the Service or its infrastructure.
- Use the Service to build a directly competing product by scraping or bulk-extracting it.
- Submit content you do not have the right to process.
7. Your content
You retain all rights to your code and any content you process with OpenVisio. Because the core product is local-first, we generally do not receive your code. To the extent any content is transmitted to us or to a third-party engine you choose to use, you grant us a limited license to process it solely to provide the Service to you.
8. Third-party services
The Service integrates with third parties (for example, Stripe for billing, identity providers for sign-in, and any AI engine you opt into). Your use of those services is subject to their terms, and we are not responsible for them.
9. Intellectual property
OpenVisio and its associated trademarks, software, and content are owned by us or our licensors and are protected by law. Open-source components are governed by their respective licenses. Except for rights expressly granted, these terms do not transfer any intellectual property to you.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate or complete. Always verify important results.
11. Limitation of liability
To the maximum extent permitted by law, OpenVisio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
12. Indemnity
You agree to indemnify and hold OpenVisio harmless from claims arising out of your misuse of the Service or your violation of these terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these terms or to protect the Service or other users. Sections that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.
14. Changes to these terms
We may update these terms from time to time. When we make material changes, we will update the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance.
15. Governing law
These terms are governed by the laws applicable where OpenVisio is established, without regard to conflict-of-law rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory law provides otherwise.
